1. Introduction & Acceptance of Terms

These comprehensive Terms and Conditions (“Terms”) govern your access to and use of our website, https://innovamaxusa.com (the “Site”), and the range of services we offer, including bulk purchasing, bespoke manufacturing, and global export of our premium quality handwoven products (collectively, the “Services”).

The Site is proudly operated by Innova Max USA, a registered Profit Corporation – Domestic in Wyoming, USA, with our principal office located at 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, USA. Our manufacturing facilities are located in Rangpur, Bangladesh.

By accessing, browsing, or utilizing any aspect of our Site and Services, you (“you,” “your,” “the Client,” “the Buyer”) explicitly agree to be legally bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. This constitutes a legally binding agreement between Innova USA and your commercial entity. If you do not agree with any of these Terms, you are expressly prohibited from using or accessing this Site.

Please note: Innova Max USA operates exclusively as a Business-to-Business (B2B) platform. Our services are tailored for commercial clients, resellers, interior designers, retailers, and other businesses seeking bulk or custom-manufactured handwoven textile products. We do not engage in direct-to-consumer (D2C) or retail sales via this website. Individual consumer purchases are directed to our authorized marketplaces such as Amazon and Walmart.

2. Eligibility & Account Registration for B2B Clients

To access our proprietary wholesale pricing, place orders, make inquiries for custom rug manufacturing, or otherwise engage with our B2B Services, you are required to register for a commercial account with Innova Max USA.

  • 2.1. Eligibility: You affirm that you are at least 18 years of age and possess the legal authority to enter into this binding agreement on behalf of a legitimate business entity. Innova Max USA reserves the right to request proof of your business registration or other relevant commercial documentation to verify your eligibility.
  • 2.2. Account Creation: During the registration process, you commit to providing accurate, complete, and current information regarding your business and its authorized representatives. This includes, but is not limited to, your official company name, business address, contact person’s name, email address, phone number, and business registration/tax identification number.
  • 2.3. Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Innova Max USA immediately of any unauthorized use of your account or any other breach of security. Innova Max USA cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
  • 2.4. Account Suspension/Termination: Innova Max USA reserves the unequivocal right, at its sole discretion, to refuse service, suspend, or terminate accounts, or cancel orders if we have reasonable grounds to believe that the information provided is inaccurate, incomplete, misleading, or that the account is being used for non-commercial purposes, fraudulent activities, or in violation of these Terms.

3. Product Information, Pricing & Order Placement

Innova Max USA specializes in wholesale handwoven Shatranji rugs and offers custom textile manufacturing solutions for businesses worldwide.

  • 3.1. Product Descriptions: We strive to ensure all product descriptions, images, and specifications for our handcrafted rugs are as accurate and detailed as possible. However, due to the artisanal nature of our handwoven products, minor variations in color, texture, and size may occur. Such variations are inherent to the handmade textile manufacturing process and are not considered defects.
  • 3.2. Pricing: All prices displayed on the Site or communicated in our Proforma Invoices are in United States Dollars (USD) and represent wholesale pricing. These prices are exclusive of shipping costs, freight charges, customs duties, tariffs, value-added taxes (VAT), goods and services taxes (GST), import fees, insurance, and any other governmental or third-party levies applicable to international trade. Prices are subject to change without prior notice, but any changes will not affect orders for which an Order Confirmation has already been issued.
  • 3.3. Minimum Order Quantity (MOQ): All wholesale Shatranji rug orders are subject to a specific Minimum Order Quantity (MOQ). The MOQ will be clearly stipulated on individual product pages, communicated during your inquiry, or detailed in our formal quotation. Orders that do not meet the specified MOQ will be declined or subject to renegotiation at our sole discretion.
  • 3.4. Custom Manufacturing & White-Label Orders:
    • Innova Max USA offers bespoke custom rug manufacturing services allowing clients to create unique handwoven textiles under their own brand or specific design requirements (white-labeling).
    • Clients are responsible for providing precise and comprehensive specifications, including, but not limited to, design blueprints, dimensions, desired materials (e.g., cotton, jute, wool), color palettes (e.g., Pantone references), branding elements, and packaging instructions.
    • A separate and detailed Custom Manufacturing Agreement will be drafted and mutually executed for all bespoke orders. This agreement will meticulously outline the entire production process, including:
      • Detailed product specifications and approved samples.
      • Production timeline and key milestones.
      • Payment schedule and terms.
      • Sample approval process and associated costs.
      • Quality control standards and inspection procedures.
      • Intellectual Property rights pertaining to custom designs.
      • Confidentiality clauses.
    • Any changes or modifications to custom order specifications after the Manufacturing Agreement has been signed may incur additional charges and lead to delays in the production schedule.
  • 3.5. Order Confirmation & Acceptance: An order, whether for wholesale or custom manufacturing, is deemed formally accepted only upon our issuance of a written Order Confirmation or a comprehensive Proforma Invoice. This document will meticulously detail all aspects of your order, including quantities, agreed-upon pricing, estimated production lead time, and specific payment terms.

4. Payment, Invoicing & Financial Terms

Timely and secure payment is crucial for facilitating smooth international wholesale textile transactions.

  • 4.1. Payment Currency & Methods: All transactions and payments must be conducted in United States Dollars (USD). For B2B wholesale and export orders, we primarily accept payments via secure Bank Transfers (Wire Transfers / Telegraphic Transfers / TT) or other pre-approved international payment mechanisms specifically agreed upon in writing. We do not process direct retail credit card payments for wholesale orders on our website.
  • 4.2. Payment Schedule:
    • Standard Wholesale Orders: A mandatory 50% advance deposit is required upon your acceptance of our Order Confirmation or Proforma Invoice to initiate the procurement of raw materials and commence production of your handwoven Shatranji rugs. The remaining 50% balance is strictly due and payable prior to the dispatch of the complete order from our manufacturing facility in Bangladesh.
    • Custom Manufacturing Orders: The specific payment schedule for custom rug manufacturing orders will be explicitly detailed within the bespoke Manufacturing Agreement, taking into account project milestones and material costs.
  • 4.3. Banking & Conversion Fees: The Client is solely responsible for any and all bank charges, currency conversion fees, intermediary bank fees, or other financial transaction costs incurred during the payment process. Innova Max USA must receive the full invoice amount in USD.
  • 4.4. Invoicing: Innova Max USA will issue a Proforma Invoice upon order confirmation and a Commercial Invoice upon completion of production, detailing all items, quantities, and financial obligations.
  • 4.5. Late Payments & Consequences: Innova Max USA reserves the right to immediately suspend or delay the production or shipment of any order if payments are not received by the agreed-upon due dates. Repeated or significant delays in payment may result in the cancellation of the order, forfeiture of any advance deposits (as outlined in Section 7), and potential termination of future business relations.

5. Production, Quality Control & Lead Times

Our commitment to quality handwoven textiles from Bangladesh ensures that every Shatranji rug meets rigorous standards.

  • 5.1. Artisanal Production: All products offered by Innova Max USA are meticulously handcrafted by skilled artisans in our facilities in Rangpur, Bangladesh. This dedication to traditional weaving techniques means each piece possesses unique characteristics.
  • 5.2. Estimated Lead Time: The estimated production lead time will be clearly communicated in your Order Confirmation or Custom Manufacturing Agreement. This lead time is an approximation and may vary based on the order size, complexity of rug designs, current production capacity, and availability of specific raw materials for handwoven textiles.
  • 5.3. Quality Control (QC): Innova Max USA implements stringent multi-stage quality control procedures throughout the manufacturing process, from raw material inspection to final product finishing. We strive to deliver premium quality Shatranji rugs that meet agreed-upon standards.
  • 5.4. Client Inspections: For large volume or custom manufacturing orders, clients may, by prior written arrangement and at their own expense, conduct pre-shipment inspections at our facility in Bangladesh.
  • 5.5. Delays (Force Majeure): Innova Max USA shall not be held liable for any production or shipping delays caused by circumstances beyond our reasonable control, including but not limited to, natural disasters (e.g., floods, cyclones prevalent in certain regions), pandemics, governmental restrictions, raw material shortages, labor disputes, port congestion, or other unforeseen events (Force Majeure). We will endeavor to communicate any significant delays to the Client promptly.

6. Shipping, Export & Import Responsibilities

Innova Max USA is an experienced international exporter of handcrafted textiles from Bangladesh. We facilitate seamless global delivery for our B2B clients.

  • 6.1. Origin of Shipment: All wholesale Shatranji rugs and custom-manufactured textiles are manufactured in and shipped from Bangladesh.
  • 6.2. Shipping Terms (Incoterms 2020): Unless explicitly agreed upon otherwise in a written sales contract, all shipments from Innova Max USA are made on an FOB (Free On Board) Chittagong Port, Bangladesh basis (Incoterms 2020).
    • FOB Chittagong Port means:
      • Innova Max USA is responsible for delivering the goods to the designated shipping vessel at Chittagong Port, Bangladesh, cleared for export.
      • Innova Max USA covers all costs and risks until the goods are loaded onto the vessel.
      • Once the goods are loaded onto the vessel, the ownership, risk of loss, and responsibility for all subsequent costs (including freight, insurance, and import clearance) transfer entirely to the Client (Buyer).
  • 6.3. Freight & Insurance: The Client (Buyer) is solely responsible for arranging and bearing all costs associated with international freight (whether sea freight or air cargo), marine or air insurance, and all inland transportation from Chittagong Port to the final destination within their country. Innova Max USA can, upon written request and at the Client’s expense, assist in coordinating with our established logistics partners for competitive freight and insurance quotes.
  • 6.4. Customs, Duties & Taxes (Importer of Record): The Client is designated as the Importer of Record in the destination country. As such, the Client is exclusively responsible for all import procedures, customs clearance, payment of all applicable import duties, tariffs, value-added taxes (VAT), goods and services taxes (GST), provincial sales taxes, excise taxes, and any other governmental or third-party fees related to the importation of goods into their country. Innova Max USA shall not be liable for any delays or charges arising from the Client’s failure to fulfill their import responsibilities.
  • 6.5. Export Documentation: Innova Max USA will provide all standard and legally required export documentation from Bangladesh, including:
    • Commercial Invoice
    • Detailed Packing List
    • Bill of Lading (B/L) for sea freight or Air Waybill (AWB) for air cargo
    • Certificate of Origin (if required and requested at the time of order, may incur additional charges).
    • Any requests for additional or specialized documentation (e.g., GSP certificates, specific phytosanitary certificates, specific material declarations) must be communicated in writing at the time of order placement and may be subject to additional fees and processing times.
  • 6.6. Risk of Loss: The risk of loss or damage to the handwoven Shatranji rugs passes to the Client upon delivery of the goods to the designated carrier at Chittagong Port, Bangladesh, in accordance with the agreed-upon Incoterms.

7. Returns, Refunds & Order Cancellations (B2B Specific)

Our policy for wholesale and custom-manufactured textiles differs significantly from retail consumer return policies.

  • 7.1. Order Cancellation (Wholesale):
    • Clients may cancel a standard wholesale order within 72 hours of receiving our formal Order Confirmation for a full refund of any advance deposit paid.
    • After 72 hours, the advance deposit becomes non-refundable. This is because, at this stage, raw materials (e.g., specific yarns for handwoven rugs) will have been procured, and production will have commenced at our facilities in Rangpur, Bangladesh.
  • 7.2. Order Cancellation (Custom Manufacturing):
    • For custom rug manufacturing orders, cancellation terms will be explicitly detailed in the Custom Manufacturing Agreement. Generally, advance deposits for custom orders are non-refundable once the agreement is signed and design/production has begun, due to the bespoke nature of the product.
  • 7.3. Returns & Quality Claims (B2B):
    • Innova Max USA does not accept returns for wholesale or custom orders due to client’s change of mind, excess inventory, or market shifts.
    • All claims regarding alleged manufacturing defects, shipping damages (if applicable under our responsibility), or discrepancies in quantity must be reported in writing to [email protected] within 14 calendar days of the Client’s receipt of the goods at the final destination port or agreed-upon delivery point.
    • Claims must be accompanied by comprehensive photographic or video evidence clearly illustrating the defect or damage, along with relevant details (e.g., batch numbers, invoice numbers).
    • Upon validation of a legitimate manufacturing defect or discrepancy attributable to Innova Max USA, our sole liability is strictly limited to either:
      • Providing a replacement for the defective items in a subsequent order/shipment.
      • Issuing a credit note for the value of the defective goods, applicable towards future purchases from Innova Max USA.
    • We do not offer cash refunds for accepted claims.
  • 7.4. Custom Orders – Non-Returnable: Custom-manufactured Shatranji rugs are designed and produced specifically for the Client and are therefore non-refundable and non-returnable under any circumstances, except for proven manufacturing defects as outlined in Section 7.3 and mutually agreed upon in the Manufacturing Agreement.

8. Intellectual Property Rights

Innova Max USA respects intellectual property and expects its clients to do the same.

  • 8.1. Our Intellectual Property: All content present on this Site, including but not limited to the “Innova Max USA” company name, its distinctive logo, all textual content, graphical elements, product photographs, promotional videos, website design, and underlying software, constitutes the exclusive intellectual property of Innova Max USA and is rigorously protected by international copyright, trademark, and other intellectual property laws. Unauthorized reproduction, distribution, modification, or use of any of our intellectual property without our explicit prior written consent is strictly prohibited.
  • 8.2. Client’s Intellectual Property (for Custom Orders): For custom rug manufacturing or white-label orders, any designs, logos, or specifications provided by the Client shall remain the Client’s intellectual property. The Client warrants that they possess all necessary rights to utilize such intellectual property and indemnifies Innova Max USA against any claims of infringement arising from the use of such materials in the manufacturing process. Innova Max USA agrees to use the Client’s intellectual property solely for the purpose of fulfilling the specific custom manufacturing order.

9. Limitation of Liability & Indemnification

  • 9.1. Limitation of Liability: To the maximum extent permitted by applicable law, Innova Max USA, its directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with: (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. Innova Max USA’s total cumulative liability for any and all claims arising out of or relating to your use of the Services shall not exceed the total value of the specific order giving rise to the claim.
  • 9.2. Indemnification: You agree to defend, indemnify, and hold harmless Innova Max USA and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of (a) your use and access of the Service; (b) your breach of these Terms; or (c) your violation of any laws or regulations, including without limitation any intellectual property rights of a third party, particularly concerning custom-provided designs.

10. Governing Law & Dispute Resolution

  • 10.1. Governing Law: These Terms and any disputes or claims arising out of or in connection with your relationship with Innova Max USA, including the sale of wholesale Shatranji rugs and custom textile manufacturing services, shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. This ensures a consistent legal framework for all our international B2B transactions.
  • 10.2. Amicable Resolution: We encourage all Clients to first attempt to resolve any dispute or claim amicably by contacting Innova Max USA directly through our designated contact channels.
  • 10.3. Exclusive Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or the Services that cannot be resolved amicably shall be brought exclusively in the state or federal courts located in Wyoming, USA. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue therein.

11. Changes to Terms and Conditions

Innova Max USA reserves the unequivocal right, at its sole discretion, to update, modify, or replace these Terms at any time. When we make changes, we will revise the “Last Updated” date at the top of this document. We will endeavor to provide reasonable notice of significant changes (e.g., via email or a prominent notice on our Site) prior to the changes becoming effective.

The version of the Terms that will apply to your specific order will be the version in effect on the Site at the precise time you place your order or sign a Manufacturing Agreement. Your continued use of the Site and Services following the posting of any revised Terms means that you accept and agree to the changes.

12. Miscellaneous Provisions

  • 12.1. Entire Agreement: These Terms, together with any applicable Order Confirmation, Proforma Invoice, or Custom Manufacturing Agreement, constitute the entire and sole agreement between you and Innova Max USA regarding your use of the Site and Services, superseding all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
  • 12.2. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  • 12.3. Waiver: No waiver by Innova Max USA of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Innova Max USA to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
